SUBSCRIPTION AGREEMENT
Please read the following terms and conditions relating to your subscription very carefully.
By subscribing to any of our products or services (collectively, our "Products and Services"), you agree to the terms and conditions set forth in this Subscription Agreement (this "Agreement"). You agree to be legally bound and to abide by this Agreement, just as if you had signed it. If you do not abide by the terms of this Agreement, we may immediately delete your account - which includes your username, password and everything associated with them, including (but not limited to), user accounts, backups, content and web files. We shall not be liable to you or any third-party for taking such actions. If you are dissatisfied or displeased with anything we say or do, or with any of our products or services, the only recourse your have is to close your account. In so doing, you may or may not be entitled to a refund. Please refer to our Refund Policy for information on obtaining a refund.

We reserve the right, in our sole discretion, to change, modify, add or remove provisions of this Agreement at any time. You should check this Agreement periodically for changes. By using any of our Products and Services after we post changes to this Agreement, you agree to accept the changes, whether or not you have reviewed them. If you do not agree to this, you should not use our Products and Services and you should close your account with us.

Scope of Agreement
This Agreement applies to your subscription to Products and Services offered by Ursus Software Limited trading as USL, USL Technologies, EditBureau ("USL," "we," "us," or "our"), both now and in the future. The following documents are also a part of this Agreement: Terms of Use , Billing Policy , Refund Policy .

Your Use of Our Products and Services
Unless otherwise specified, so long as you pay your subscription fee and comply fully with this Agreement, we grant you a non-exclusive, non-transferable, limited right to access, use and display the Products and Services you subscribed to, as well as the free Products and Services that came with your account. You agree not to assign, transfer or sublicense your rights as a subscriber to our Products and Services. You understand that your subscription to our Products and Services is only valid for your use and may not be shared with or transferred to others. See our Terms of Use for additional information and provisions against reselling. You agree to be financially responsible for all Products and Services you have subscribed to.

Charges and Fees for Packages and Extras
As a subscriber to our Products and Services, you agree as follows:
  • You agree to pay, using a valid credit card (or other form of payment which we may accept from time to time), the subscription fees and one-time charges set forth on our web sites for any Packages you subscribed to and any Extras you purchase or subscribe to, for the minimum term specified for each package. We reserve the right to increase charges and fees, or to institute new charges or fees at any time, upon reasonable advance notice communicated to you through a posting in your Account Manager, or e-mailed to you as a subscriber of the USL List. We will automatically charge your credit card (or other form of payment) when you create your account and thereafter at each renewal period for the billing frequency you have chosen (e.g. monthly, quarterly, annually), unless your account has been cancelled. The renewal charge will be the same as the prior period's charge, unless we notify you otherwise in advance or you alter the products and/or services to which you are subscribed. Each time you use our Products and Services you reaffirm your agreement that we may charge your credit card (or other form of payment, if applicable). For more information, see our Billing Policy
  • You agree to provide us with true, accurate and complete information as required by the signup process ("Account and Billing Information"), including your legal name, address, telephone number, email address and applicable billing information (e.g., credit card number and expiration date), and to allow us to share your Membership and Billing Information with third parties solely for the purpose of verifying the information you provide and billing your credit card or otherwise charging your account.
  • You agree to maintain and promptly update the Account and Billing Information to keep it accurate. Without limiting any other provision of this Agreement, if you provide any information that is untrue, inaccurate, or incomplete, or we have reasonable grounds to suspect that such is the case, we reserve the right to suspend or terminate your subscription and refuse any and all current or future use by you of the service (or any portion thereof) or any of our Products and Services.

 

If we terminate your subscription due to a violation of our Terms of Use, no refunds of any kind will be made, for any reason.


Cancellation of Subscription
All products and services are subject to a minimum contract term. Please see our Terms and Conditions for details.

Upon cancellation of your subscription, we will immediately deactivate your account and remove all related information and/or files for your account and/or bar any further access to such information and/or files.

You can cancel your subscription by logging into your account and selecting the cancel subscription option. If you have subscribed through a reseller, you should contact the reseller to cancel your account.
